Limited Partner

A Limited Partner is a passive real estate investor who provides capital while the GP manages day-to-day multifamily operations.

Definition

A Limited Partner (LP) is an investor in a real estate fund or syndication who provides capital but typically does not manage day-to-day property operations. In a GP/LP structure, the general partner manages the investment and operating decisions, while LPs usually have a more passive role and may weigh in on major decisions.

Example

A multifamily owner raises equity for a 200-unit value-add acquisition. The LPs contribute most of the capital, receive investor reporting on occupancy, NOI, and renovation progress, but the GP and operating team make the day-to-day leasing, staffing, maintenance, and capital project decisions.

Why it matters

Operations leaders need to understand who the LPs are because LP expectations often shape reporting, budgets, renovation timelines, and performance targets. Clear communication around metrics like NOI, occupancy, collections, and capital spending helps connect property-level execution to investor outcomes.
